We are currently seeking an Assistant General Counsel to lead our Corporate Transactions, Governance and Compliance efforts. In this role, you will provide practical, hands-on education, leadership, and strategic advice on a variety of corporate matters. Reporting directly to the General Counsel, you will work closely with the enterprise's various Boards of Directors, senior management, other legal team members, our accounting group and other stakeholders.
The ideal candidate for the position should have a comprehensive understanding of corporate transactional and governance matters, including the legal and regulatory framework, industry standards, and best practices. Experience with ESOPs would be huge plus. Additionally, they should possess excellent communication and interpersonal skills to work collaboratively with other members of the Legal Team and business leaders. Practical experience in commercial finance, mergers, acquisitions, joint ventures and other strategic alliances is also a must-have.

A DAY IN THE LIFE
- Lead corporate compliance processes for over 100 entities, including annual reports, annual corporate consents, company registrations, etc.
- Collaborate with General Counsel, company lead attorneys and company leaders in advising the boards of directors and senior management within ARCO’s Family of Construction Companies in navigating corporate compliance and other corporate matters.
- Develop and maintain compliance programs related to corporate governance, applicable laws, and regulations, including state and local construction and design licensing laws.
- Prepare formation documents for corporations, limited liability companies, joint ventures and other similar documents.
- Lead special projects from-time-to-time, including mergers and acquisitions.
- Maintain organized company records.
- Manage ARCO Enterprise’s various ESOP organizational and financing documents by drafting and negotiating loan agreements and related documents, including share awards, amendments, security agreements, guarantees, and warrants.
- Develop and implement training programs for the legal team and other stakeholders on corporate governance and compliance matters.
NECESSARY QUALIFICATIONS

- Enjoy working in the office, in a fast-paced, growth-oriented business environment.
- Member in good standing of Missouri bar.
- 7-15 years of relevant experience in mergers, acquisitions, corporate governance, compliance, and transactions. In-house experience in a complicated corporate structure a plus.
- Desire to work as part of legal team that is highly collaborative.
- Strong knowledge of corporate governance best practices and compliance frameworks.
- Experience with ESOP’s, construction business, transactional work, real estate leasing, or doing business internationally would be a plus.
- Excellent written and verbal communication skills.
- Highly organized, detail-oriented, and able to manage multiple projects simultaneously, while working under tight deadlines.
- Ability to work independently and as part of a team.
- Demonstrated ability to build relationships and influence stakeholders.
- Strong analytical and problem-solving skills are essential for the candidate to identify legal issues and risks, analyze complex problems, and provide practical and effective solutions.
