Legal Assistant – Business Entities, Commercial Transactions & Estate Planning
Campanie & Wayland-Smith, PLLC is seeking a legal assistant to support its long established Business Entities, Commercial Transactions & Estate Planning practices. The responsibilities of this role will include the following:
Assist with the preparation, execution and maintenance of documents associated with corporate and limited liability formations, dissolutions and business transactions. Serve as the main custodian for corporate and limited liability company records and minute books, including annual entity management and ad-hoc requests (e.g. annual meetings, director & officer appointments). Work with firm attorneys and outside vendors to assist with and draft minutes, corporate/company filings. This will include minutes of annual and special meetings; Articles of Incorporation/Organization and Formation; by-laws, operating and shareholder agreements; and preparation and filing of various forms (including dissolution/cancellation, amendments, SS4 forms and EINs and other organizational and related documents). The successful candidate will be responsible for performing customary tasks including assisting in the preparation of transaction documentation, making revisions and proofreading, assisting in the execution of transactions, assisting with document distributions and coordinating the closure of transaction files.
Draft estate planning documents, including Wills, Trusts, Powers of Attorney, Healthcare Proxies, and related; witness estate planning documents; prepare execution copies of estate planning documents for client meetings. Notarization of documents (valid and current Notary Public Registration is preferred, and if not licensed at hire, will be required to be promptly secured).
Provide high quality administrative support including correspondence, maintain calendars in Outlook and/or Amicus Attorney including scheduling meetings/appointments, process incoming mail, and transcription of digital dictation. Create and maintain complete and orderly files in a manner that expedites retrieval; understand and ensure document and privacy requirements are followed; periodic closure and confidential disposal of files. General office duties – copy, mail, and scan documents; prepare and send faxes and emails. Open new matters and enter time into billing system; process bills; proof billing sheets; review and edit bills. Phone coverage for multiple attorneys; enter and communicate phone messages in office systems in a professional manner.
Must be proficient in Word, Excel, Microsoft Office and Outlook; experience with Word Perfect, Amicus Attorney, as well as experience in Zoom, Skype for Business and/or Microsoft Teams welcomed but not required. Strong professional writing, interpersonal communication, and organizational skills, attention to detail and a demonstrated ability to maintain the highest quality work product is essential. Must demonstrate the highest level of confidentiality with all client and company records.
Qualifications:
- Bachelor's Degree (BS), from a four (4) year accredited college or university and a minimum of two (2) years of related experience and/or training; or an equivalent combination of education and experience.
