We are looking for an experienced, highly motivated CEO / COO or Director to lead our Carrying Broker-Dealer operations with full accountability spanning compliance, regulatory management, risk oversight, business development, and financial control. This is a hands-on executive role requiring deep expertise in SEC/FINRA rules for Carrying BDs, exceptional leadership capabilities, and the ability to implement strategic growth plans in a localized Texas market context.


What you’ll be working on:

Compliance & Regulatory Oversight (Critical for Carrying Broker-Dealer)

  • Serve as the **SEC/FINRA-Designated Principal**, ensuring our firm’s strict adherence to essential Carrying BD requirements, including:
  • Net Capital Rule (Rule 15c3-1): Proactively monitor capital adequacy in real-time to avoid any regulatory breaches or Early Warning notices.
  • Customer Protection Rule (Rule 15c3-3): Oversee segregation, safekeeping, timely reconciliation of client funds and securities, and compliance audits to protect customer assets.
  • Clearing & Settlement: Manage end-to-end clearing firm relationships, ensure smooth CNS and balanced settlement processes, and oversee operational integrity.
  • Lead ongoing communications and filings with the **Texas State Securities Board**, including registrations, exemption filings, and other regulatory submissions pertinent to our operations.


Operations & Risk Management

  • Customer Asset Protection Risks: Implement and oversee safeguards to ensure proper segregation, accounting, and protection of client funds and securities in compliance with **SEC Rule 15c3-3**, including controls to prevent misappropriation and operational errors (e.g., error account monitoring, timely reconciliations).
  • Supervise key technology platforms including clearing systems (e.g., Pershing, Apex), order routing and trading infrastructures (e.g., FIX protocol connectivity), and ensure comprehensive disaster recovery/business continuity planning.
  • Enforce stringent **AML policies and procedures**, conduct direct review of Suspicious Activity Reports (SARs), and ensure full compliance with FinCEN regulations and state-level anti-fraud laws.


Business Development - Texas-Centric Strategy

  • Lead growth initiatives targeting institutional clients such as hedge funds, Registered Investment Advisors (RIAs), and family offices, emphasizing clearing, margin lending, and securities lending offerings.
  • Drive localized business opportunities in Texas, focusing on sectors like energy trading, private placements, and regionally significant asset classes.
  • Foster and maintain strategic partnerships within the Texas financial ecosystem to expand footprint and service capabilities.


Finance & Team Leadership (Hands-On Management)

  • Serve as Financial and Operations Principal (**FinOp**) with key responsibilities including:
  • Accurate and timely preparation of monthly FOCUS Reports (Parts II/IIA) in compliance with SEC/FINRA requirements.
  • Oversight and management of margin accounts and repo transaction risks to ensure capital utilization aligns with regulatory standards.
  • Lead and mentor a lean but highly skilled team (3–5 FTEs) across compliance, trading, and operational roles; actively engage in back-office and day-to-day operational tasks if needed to ensure smooth function in a small team environment.


What we’re looking for:

  • Minimum of 3 years’ experience working in **Carrying Broker-Dealer operations and compliance**, including direct involvement with clearing processes such as CNS and balanced settlement.
  • Proven track record managing and responding to SEC/FINRA audits and examinations related to net capital and customer asset requirements.
  • Prior experience interfacing with regulatory bodies (SEC, FINRA, state regulators) on complex compliance issues.
  • Demonstrated leadership of small teams in fast-paced, regulatory-intensive environments.
  • Strong financial acumen with hands-on experience preparing FOCUS reports, managing margin and liquidity risks.
  • Solid understanding of AML regulations and experience reviewing and submitting SARs.


Mandatory Licenses

  • Series 24 (General Securities Principal)
  • Series 7 (or Series 57 for candidates with a trading-focused background)
  • Series 27 or Series 28 (Financial and Operations Principal - FinOp) — required for Carrying Broker-Dealer roles.
  • Relevant Texas registrations (e.g., Investment Adviser Representative) if applicable.
