Position Description:
Corporate Counsel will regularly work on projects with cross-functional teams that involve high degrees of risk, opportunity, and complexity. Responsible for supporting contract negotiating, drafting, and management within all business groups. There is an emphasis on commercial agreements, purchase orders, confidentiality agreements, IT vendor agreements, equipment purchase agreements, and engineering and construction contracts.
Position Qualifications:
- Undergraduate degree from a respected university in any discipline and a juris doctorate degree from an ABA accredited law school.
- Must be licensed to practice law in Colorado with a minimum of six years of corporate experience.
- Valid Driver’s License required.
- Must be able to identify strengths, weaknesses, threats, and opportunities quickly and accurately, and develops appropriate plans for action.
- Anticipates and plans for changes in internal and/or external operating conditions and business needs.
- Must have the ability to apply principles of logical or scientific thinking to a wide range of intellectual and practical problems. Strong logical reasoning required.
- Ability to deal with a variety of abstract and concrete variables while also being able to read, analyze, and interpret complex documents.
- Possess a strong understanding and sense of confidentiality to be able to respond effectively to the most sensitive inquiries or complaints.
- Must be a recognized expert in the areas assigned while possessing a broad knowledge of a wide range of other business areas.
- Ability to prioritize tasks when faced with multiple deadlines.
- Excellent organizational skills and attention to detail.
- Strong writing, editing and verbal communication skills.
- Advanced user of Microsoft Office Suite (Word, PowerPoint, Excel & Outlook).
Essential Duties:
- Develop and deliver appropriate training and materials to various business groups. Requires in-depth knowledge of relevant business processes and operations to ensure contracts are drafted to appropriately protect the Company's interests.
- Identifies and solves unique and complex issues that arise during the contract negotiation and drafting process that requires innovative thinking and creative solutions.
- Assist with the real estate due diligence process and supports both operations and facilities management with resolving litigation and associated grievances.
- Supports and assists with all areas of the Company's compliance program. This includes leading investigations, fact-finding, and other investigatory needs in connection with situations that arise under the Company's compliance programs. Also, responsible for ensuring all documents, policies, templates, and processes related to compliance are current and accurately maintained.
- In conjunction with senior management and other members of the Legal Department, supports all litigation, including contract interpretation, litigation assessments and settlement analyses, and general legal advice on litigation matters.
- Manages discovery process for all litigation matters, including distribution of appropriate document holds, document production, e-discovery, etc.
- Assists and guides related to labor and employment matters through cross-functional collaboration with the human resources director, district managers, frontline managers, and employees.
Provides legal advice and support related to the Company’s insurance surety and other risk management programs.
