Equity Plan Administrator
Our client is seeking an experienced Equity Plan Administrator to oversee and manage their equity compensation programs. In this pivotal role, you will handle the day-to-day administration of equity plans, including stock options, restricted stock units (RSUs), and performance shares. This position requires a focus on ensuring compliance with securities laws and regulations while delivering exceptional support to employees and executives. This is a full-time, onsite role based in either Morgantown, WV, or Houston, TX.
Key Responsibilities
- Administer the complete lifecycle of equity grants, including issuance, modifications, exercises, and cancellations.
- Maintain precise and current records within the equity management system.
- Prepare and distribute employee communications related to equity programs.
- Serve as the primary contact for equity-related inquiries, offering guidance to employees and managing vendor relationships.
- Ensure compliance with securities laws and regulations, including Section 16 reporting requirements.
- Prepare and submit required filings to regulatory authorities (e.g., SEC).
- Collaborate with the Finance team on equity budgeting, forecasting, and monthly / quarterly / annual reconciliations.
- Conduct regular audits of equity plan data to ensure accuracy and proactively identify any discrepancies.
- Partner with legal counsel and finance teams on equity program matters.
- Stay informed on changes to equity compensation laws and regulations.
- Drive improvements in equity administration processes, implementing best practices to scale effectively with organizational growth.
