We are seeking a dynamic and highly skilled Corporate Associate Attorney to join our fast-paced legal team. This position offers an excellent opportunity to work on complex and high-profile corporate transactions, including mergers and acquisitions (M&A), joint ventures, and other significant corporate matters. The ideal candidate will have a strong background in providing comprehensive legal advice on corporate governance, structuring, commercial contracts, and regulatory compliance.
Responsibilities:
As an On-Site Corporate Associate Attorney, your responsibilities will include:
1. Advising and representing clients in M&A, joint ventures, and other corporate transactions.
2. Drafting, reviewing, and negotiating complex commercial contracts.
3. Providing legal advice on corporate governance, structuring, and regulatory compliance.
4. Developing and implementing exit strategies and succession planning for corporate clients.
5. Participating in the development and refinement of company policies and procedures to ensure compliance with applicable laws and regulations.
6. Collaborating with other attorneys and professionals to provide comprehensive legal services to clients.
7. Keeping abreast of current trends, practices, and changes in corporate law and regulations that may affect the company and its clients.
Qualifications:
To be considered for the Permanent Corporate Associate Attorney position, you must meet the following qualifications:
1. Juris Doctorate degree from an accredited law school.
2. Admission to the NY state bar.
3. A minimum of 3 years of experience as a corporate attorney, with a focus on M&A, joint ventures, and corporate governance.
4. Proven experience in drafting, reviewing, and negotiating commercial contracts.
5. Strong knowledge of corporate structuring, exit strategies, and succession planning.
6. Excellent understanding of regulatory compliance in the corporate sector.
7. Exceptional interpersonal and communication skills, with the ability to interact effectively with clients and colleagues at all levels.
8. Strong analytical and problem-solving skills, with the ability to handle complex legal issues.
9. Ability to work independently and as part of a team, managing multiple priorities in a fast-paced environment.
10. High degree of professional ethics and integrity.
