Associate General Counsel, Corporate Responsibilities:
- Prepare SEC and other corporate regulatory filings, with emphasis on ’34 Act compliance, including reports on Forms 10-K/Q and proxy statements
- Participate in preparation of quarterly earnings release materials and advise on securities law compliance and disclosure matters, including disclosure controls and procedures
- Assist in capital market and related financial transactions as needed, including securities offerings, debt transactions, credit facilities, and share buybacks
- Assist in corporate governance matters, including oversight of corporate policies, preparation of board and committee materials, and ESG efforts
- Work with cross-functional teams to build and enhance internal processes
- Coordinate with outside corporate counsel
Minimum Qualifications:
- J.D. degree and membership in at least one state bar
- 8 years experience as a practicing attorney in house and/or at a law firm
- Corporate and transactional experience with public companies
- Experience in SEC and regulatory compliance, and corporate governance
Preferred Qualifications:
- Experience leveraging organizational skills and strategic thinking, and experience working with cross-functional teams
- Experience in capital markets transactions
