Assistant General Counsel

Location: Oskaloosa, IA
Principal Duties and Responsibilities
- Identify and evaluate business and legal risks with new products and features and find creative ways to mitigate them while meeting business goals
- Lead the continued development and expansion of the corporate compliance program, including updates to the Code of Ethics and Business Continuity Plan and development of a document retention program
- Work cross-functionally with other business units in development and implementation of programs related to ESG and cyber incident response
- Develop and deliver training on key compliance policies
- Advise and counsel other business units and management on privacy and data protection matters, including AI and biometric legal impacts of proposed product features
- Work with the management team and specialists in intellectual property and R&D to establish priorities with respect to IP protection and company competitors
- Review and draft corporate governance documents, including minutes and resolutions
- Ensure the company maintains proper licensing and create processes to track and monitor business needs in a proactive manner
- Support procedures related to third party risk management
- Review, draft, and negotiate corporate contracts
- Provide support for any merger or acquisition activity
- Manage all litigation and disputes involving the company
- Engage with and effectively manage outside counsel
- Support the General Counsel in providing legal research and advice to company management
- Perform other duties as assigned
Desired Qualifications
- Degree from ABA accredited law school
- Active license to practice law in the state of Iowa
- 7 to 10 years of experience as a practicing attorney, with at least 3 years of that experience in an in-house role
- Experience as a manager for at least 2 years preferred
- Experience facilitating trainings preferred
- Experience with privacy law, patents and trademarks preferred
- Experience with Microsoft Office
- Team player who is also self-directed and self-motivated with the ability to solve problems
- Excellent communication and presentation skills
- Strong attention to detail
- Ability to organize and summarize complex subject matter in an understandable way
- Ability to prioritize projects and manage multiple tasks at one time
- Ability to work effectively in a cross-functional environment and within all levels of an organization
- Ability to develop processes and procedures and encourage their acceptance
- Strong negotiation skills
- Ability to generate a high degree of respect and trust rapidly from other team members and management
- Potential travel 1 to 3 times per year
- Ability to work onsite at the corporate office at least 40 hours per week
