What are the responsibilities and job description for the Corporate Paralegal position at Perkinson Legal?
We are looking for a Corporate Paralegal to support attorneys by managing projects with organization and urgency, answering / drafting correspondence, scheduling meetings, preparing and filing forms regarding entities and real estate, and drafting corporate documents and agreements, including articles of organization / incorporation, resolutions, purchase agreements and their ancillary agreements, and corporate minute books.
Candidates should have 5 years of experience in private practice with:
- Exceptional writing/drafting skills
- Attention to detail and organization
- An ability to manage both short-term and long-term projects and meet deadlines
- A willingness to learn and be innovative
- Strong client communication skills
- Familiarity with SOS of Ohio, auditor, recorder, SimpliFile, and other forms databases and filing systems
- Experience in drafting corporate resolutions, operating agreements, shareholder agreements, and related contracts
- Prior experience in M&A transactions is preferred
