Reporting to the General Counsel, we are seeking an experienced attorney to handle complex legal and insurance matters and advise on related corporate and commercial matters principally focused on legal and business relationships within the organizational structure and with third party stakeholders. The successful applicant will have insurance industry experience (preferably experience with law firm or insurance company general counsel office), along with proven competent legal and business judgment and success in an environment often requiring urgent, proactive, and business-based legal advice to senior management, shareholders, and key business partners.
Principal Duties and Responsibilities
Provide legal advice on all aspects of the insurance business relating to intercompany agreements, third party contract review and corporate compliance support, legal support of strategic business initiatives and other matters may be assigned. Experience with review and drafting of subproducer agreements, trust agreements, managing general agent agreements, service and / or claims administration agreements is desired. Provide legal advice on varied corporate and transactional matters and negotiation of commercial contracts and dispute resolution on behalf of the corporation and its subsidiaries and affiliates, including with reference to the implementation of reinsurance agreements and claims administration agreements.
Identify and mitigate legal risk in challenging business issues and opportunities involving contractual arrangements, employment matters, merger activity and corporate compliance.
Develop and maintain collaborative relationships with senior management, the board of directors, shareholders and external stakeholders including clients, insurance producers and agents, outside counsel and other strategic partners.
Other duties as assigned including participation in special projects and support to other company teams and strategic third party partners.
Minimum Job Requirements
Juris Doctorate (J.D.) from ABA-accredited institution and member in good standing of a Bar (or equivalent).
Two or more years of combined law firm, government, and / or in-house legal experience with increasing levels of responsibility involving the insurance industry, litigation, or commercial matters. Contract review experience may be substituted for one year of legal experience.
Experience in transactional matters or litigation, preferably in the insurance or reinsurance industry. Superior oral, written and interpersonal communication skills, strong analytical and problem-solving skills, comfortable in a fast-paced environment, and a positive attitude.
