Job Title: Corporate Counsel
Position Overview
Do you have at least five years of experience working with SaaS contracts? Do you enjoy negotiating all types of commercial agreements? If you answered yes, Zywave would love to speak with you! We are currently looking for a knowledgeable and experienced individual to join our Corporate Counsel! In this role, you are responsible for independently negotiating all types of commercial agreements (e.g. sales, partnerships, vendors, etc.) with a primary focus on outbound SaaS commercial agreements such as MSAs, SOWs, NDAs, and DPAs, and advise the business on risk. You will have a working understanding of privacy regulations and their application to our business and commercial practices, including CCPA/CPRA, NYDFS, and GDPR, and the ability to translate that understanding into redlines to articulate in negotiations.

As a part of the Corporate Counsel, you will maintain and improve existing contract templates for Zywave and it’s acquired subsidiaries to ensure industry best practices and evolution with product offerings. You will also lead development efforts for playbooks for refining processes on commercial contracting activities with the legal operations team as well as identify and evaluate business and legal risks, and find creative ways to mitigate those risks while achieving business goals. In addition, you will also collaborate with the team to identify opportunities to centralize knowledge and create scalable processes to increase visibility and expedite communication, alignment, and execution of the legal function.
Factors for Success
- US licensed attorney in good standing with a state bar association
- 5 years of commercial transactional work in a fast-paced environment
- Deep experience negotiating SaaS or technology agreements with businesses housing sensitive personal information (PII or PHI)
- Experience in practically navigating privacy laws (including GDPR and CCPA) and security issues in a commercial negotiation context
- Experience drafting, redlining, and negotiating complex commercial agreements with a solution-oriented approach.
- Experience managing workload in a high-pressure environment with competing demands.
- Willingness to jump in and help colleagues to get things done and an interest in learning new things
- Maintains composure in fast-paced, challenging environments
- Partner with cross-functional internal teams on various other commercial legal projects
- Experience with contract lifecycle management systems is a plus (SFDC, Linksquares, Docusign)
- Experience with CIPP/US and/or CIPP/EU is a plus
