Vice President - Senior Corporate Paralegal

Overview:
A leading financial services institution is seeking an experienced Senior Corporate Paralegal to join their dynamic legal team/ This role offers an opportunity to work on complex corporate governance matters and support a sophisticated investment platform.
\Key Responsibilities:
- Manage and coordinate SEC filings, including Forms 10-K, 10-Q, 8-K, and Section 16 filings.
- Oversee board governance processes, including preparation of board and committee materials, resolutions, and minutes.
- Maintain and administer entity management for a diverse portfolio of funds and investment vehicles.
- Collaborate with internal stakeholders and external counsel to ensure compliance with regulatory requirements.
- Support corporate transactions, including formations, dissolutions, and reorganizations.
- Assist with special projects related to governance and regulatory initiatives.
Qualifications:
- 5-10 years of corporate paralegal experience in a financial services, asset management, or investment environment.
- Strong knowledge of SEC reporting requirements and corporate governance best practices.
- Experience with entity management and board governance for registered funds (preference is '34 Act or '40 Act)
- Exceptional organizational skills and attention to detail.
- Ability to manage multiple priorities in a fast-paced environment.
Education:
- Bachelor's degree strongly preferred; Paralegal certification preferred.
