LHH has the pleasure of assisting an AmLaw 200 full-service firm in its search for an experienced Corporate Attorney with a strong background in M&A and general corporate matters. The ideal candidate brings sophisticated deal experience, excellent drafting skills, and a small portable book of business.
Key Responsibilities
- Lead and support M&A transactions, primarily in the $10–50M range, with some deals exceeding $100M.
- Handle a full spectrum of corporate governance matters for private and public companies.
- Advise clients on capital markets, private equity, and related transactional issues.
- Draft, review, and negotiate all relevant deal documents including purchase agreements, ancillary agreements, entity formation documents, and governance materials.
Qualifications
- 7 years of corporate transactional experience from a reputable law firm.
- Significant M&A experience, including both buy-side and sell-side transactions.
- Exposure to private equity, capital markets, and complex corporate governance.
- Strong drafting and negotiation skills.
- A portable book of business (approximately $100–200K preferred).
- PA Bar admission required.
Compensation & Benefits
- Base salary starting at $210,000 (higher depending on book and experience).
- Annual bonus program plus origination credit.
