POSITION SUMMARY: BASIC FUNCTION The Corporate Counsel L2 position provides a broad range of legal support on legal issues for the business with complete knowledge and understanding in at least one of the business’ core legal areas (client contracting, technology and commercial vendor contracts, real estate acquisition and development, commercial leasing, regulatory compliance, data privacy, litigation, and construction) with specialization in at least one other core legal area. This position reports to Assistant General Counsel, advises General Counsel as requested and provides support to Sr. Real Estate & Construction Counsel. Working at NTT ESSENTIAL DUTIES AND RESPONSIBILITIES Structure, review and negotiate a variety of commercial agreements including MSAs (client and vendor), complex commercial lease documents, vendor contracts, real estate contracts, construction agreements and other agreements involving a variety of complex and evolving issues Interact with vendors, clients, internal NTT GDC Americas, Inc. departments and NTT corporate affiliates throughout the world Respond promptly to the demands of multiple internal client groups, Manage risk and ensure business and compliance needs are accurately reflected in agreement(s). Advise company management of potential risks in contractual, regulatory, compliance, financial, and legal areas. Assist with the development and implementation of contract procedures and templates to improve operational efficiency Assists in drafting of routine corporate documentation KNOWLEDGE, SKILLS, AND ABILITIES Seasoned, experienced professional; has complete knowledge and understanding of at least one area of GDCA core legal specialization (client contracting, technology and commercial vendor contracts, real estate acquisition and development, commercial leasing, regulatory compliance, data privacy, litigation, and construction) Competency in at least one other area of GDCA core legal specialization. Applies advanced wide-ranging experience and in-depth professional knowledge to develop and resolve complex issues in creative ways. Accountable for handling complex issues in area of core competency without oversight by senior legal manager Resolves and assesses a wide range of issues in creative ways and suggests variations in approach with consultation at times from senior legal manager Frequently advises key people outside own area of expertise on complex matters, using persuasion in delivering messages, with the ability to adapt style to differing audiences and often advises others on difficult matters Work is done independently in area of core competency and is reviewed at critical points Self-starter, well organized, effectively manages stress in a fast-paced environment and produces consistent, positive results under deadline pressure. EDUCATION AND EXPERIENCE Juris Doctorate degree from an accredited law school. Current member in good standing of a State Bar . Six (6) years or more of relevant legal experience at a law firm or in house. Data center industry, real estate or construction experience a plus. PHYSICAL REQUIREMENTS Primarily sitting, with some walking, standing, and bending. Able to hear and speak into a telephone. Close visual work on a computer terminal. Dexterity of hands and fingers to operate any required computer keyboard, mouse, and other technical instruments. Able to lift and carry up to 20 lbs. WORK CONDITIONS This position is expected to be remote with an occasional need to be on-site in a shared workspace. Standard office environment. Extensive daily usage of a computer or workstation. SPECIAL REQUIREMENTS Must be comfortable working in a fast-paced environment with shifting priorities. Responsible to carry a cell phone and provide 24x7 support as needed. Travel may occasionally be required mostly to other NTT Global Data Centers Americas, Inc. locations. This is a remote position that requires reliable internet connection and electricity. A monthly stipend is provided to cover expenses associated with working remotely and use of a personal mobile device, if applicable. NTT Global Data Centers Americas, Inc. offers competitive compensation based on experience, education, and location. Base salary for this position is $180,000 - $220,000. All regular full-time employees are eligible for an annual bonus; payout is dependent upon individual and company performance.
