The pay range for this position is listed below. Our pay ranges are built to allow for candidates with various levels of skill and experience to be considered, as well as for room for growth and tenure achieved in a role over time. Typical new hire salary offers fall within the minimum to midpoint of a pay range for many candidates. Any offer extended to a candidate will be based upon their unique set of knowledge, skills, education, and experience as well as internal equity.

$77,260.00 - $115,890.00

What You’ll Be Doing

Under general supervision, reviews, negotiates, and administers a range of routine to moderately complex contracts for the organization. Works with department Manager and cross- functional business units to ensure effective contract preparation, negotiation, and vendor compliance. Serves as key liaison between vendors and internal stakeholders, monitors contract performance and recommends necessary adjustments to agreements.

• Reviews, analyzes, and interprets contracts, recommending contract terms which minimize the Credit Union’s risk. Contracts, which are legal documents that create a liability for the Credit Union, can include Master Services Agreements, Master Agreements, Services Agreements, Professional Services Agreements, Statement of Work, Scope of Work Non-disclosure Agreement, and Proposal.
• Analyzes contract issues and recommends appropriate course of action. Recommends vendor penalties and incentives, if performance does not meet or exceed established criteria. Prepares and reviews contract terms, suggesting appropriate language and provisions that protect organizational interests while facilitating business objectives.
• May work with outside legal counsel to develop and insert appropriate legal protections in complex contracts, as warranted. Consults with the department Manager and business stakeholders to recommend contract strategies and resolve contractual language disputes.
• Develop a knowledge base of contract negotiating strategies and best practices. Identify and recommend improvements to processes, procedures, workflow and organizational structures for contract management. Identifies potential contract risks and recommends appropriate risk mitigation strategies; provides analysis of price and cost proposals. May also be required to calculate contract termination fees (liquidated damages).
• Facilitates communication with multiple cross-departmental functions regarding contract terms and assists in obtaining all appropriate and necessary internal approvals for contract terms and provisions. Coordinates with business units to evaluate vendor performance and adherence to contractual terms, including compliance with Service Level Agreements.
• Provides support in the negotiation of contracts and in the resolution of contract language disputes. Initiates appropriate action to extend, modify, or terminate contracts as needed.
• Tracks the progress of contract preparation, negotiation, and finalization to ensure contracts are completed in a timely fashion. Develops and maintains accurate contract review monitoring documentation, reporting status regularly to Manager.
• Ensures that all contracts comply with federal and state rules, laws and regulations in conjunction with overarching Credit Union policy.

• Complies with regulatory compliance and assigned training requirements including but not limited to BSA regulations corresponding to their specific job duties. Failure to do so may result in disciplinary and other employment related actions
  
  

Qualifications

• High School Diploma or GED required
• Bachelor's Degree in Business Administration, Finance, Political Science or closely related field required, or equivalent years of experience required
• 3-5 years of contract management experience required
• 3-5 years contract reviewing experience required
• Paralegal, with experience in business contracts preferred
  
  

Knowledge, Skills, And Abilities

• Significant analytical skills, strong organizational ability, keen attention to detail and the ability to effectively manage multiple priorities are required to be successful in this fast-paced environment.
• Experience with Uniformed Commercial Code (UCC) rules and regulations and Contract Law as it relates to the procurement of goods and services
• Stays current on the latest technologies
• Experience with enterprise resource planning software and electronic procurement automation software
• Advance working knowledge of Microsoft Office Suite, including Excel and Word.
• Excellent written and verbal communication skills
• Extremely detail-oriented and well-organized
