Job Title : Corporate Paralegal

Responsibilities :

Corporate Entity Management :

Draft and prepare incorporation and formation documents.
Conduct name availability searches and reserve entity names.
Prepare amendments, dissolution materials, and maintain corporate minute books.
File applications for federal employer identification numbers and small business corporation elections.
Register companies as foreign businesses in other jurisdictions.
Prepare stock certificates and draft shareholder and board consents.

Transaction Management :

Manage virtual data rooms and track due diligence.

Assist with drafting deal agreements and closing certificates.

Coordinate signing and assembly of closing sets and post-closing deliverables.

Additional Support :

Review and summarize contracts.

Assist attorneys and senior paralegals with various tasks.
