Fund Overview
ONE Bow River National Defense Fund (“OBR-NDF”) is a $500 million SBICCT-licensed private-equity vehicle headquartered in Colorado. We acquire controlling interests in U.S. lower-middle-market companies that deliver mission-critical technologies and services to the Department of Defense, Intelligence Community, and Tier-1 primes. Core focus areas include C5ISR, secure communications, data analytics, autonomy, Artificial Intelligence, and other critical technology areas.
Position Summary
The VP/Director is a deal lead and portfolio architect. You will originate proprietary opportunities, lead diligence and negotiations, close 3-4 transactions per year and serve as a board-level partner to portfolio CEOs on value creation and exit strategy.
Key Responsibilities
Deal Origination
- Develop investment theses and maintain a pipeline prospective investments and LP’s
Transaction Leadership
- Own the IC process from LOI through close; structure and close deals
- Negotiate stock-purchase agreements, credit facilities, reps & warranties insurance, and management incentive plans.
Diligence Oversight
- Direct QoE, tax, ITAR/CMMC, cybersecurity, and IP counsel workstreams; ensure 60-day LOI-to-close timelines.
Portfolio Governance
- Sit on boards; drive strategic planning, program-capture initiatives (IDIQ, OTA, StratFi/TacFi), and operational KPIs.
- Lead quarterly valuation marks and LP communications; prepare companies for exit to strategics, Private funds or public markets.
Team & Culture
- Mentor Associates; instill a culture of accountability, integrity, and mission-first focus.

Qualifications
- 6–10 years total experience, including ≥ 4 years principal investing in A&D private equity, growth equity.
- Demonstrated track record leading closed control deals ≥ $50 million enterprise value.
- Deep familiarity with FAR/DFARS, ITAR, CFIUS, and SBIC structures.
- MBA or master’s in finance/engineering preferred; prior military service or active clearance highly valued.
Compensation & Benefits
Base salary $200,000–$300,000 plus annual discretionary bonus and carried-interest participation. Years of experience and years in a similar role, among other factors, will be used to determine the actual salary.

Work Environment

- Expectations are that this role will be primarily in the office (Colorado Springs) (i.e., not remote)

Position Type/Expected Hours of Work
- This full-time salary (overtime exempt) position requires at least 40 hours of work per week. Business operations are Monday through Friday
